These Terms of Service (the “Terms”) govern your access to and use of https://3dnadental.com, including its related webpages, customer account features, products, content, support, consulting, training, and other services (collectively, the “Services”).


The Services are operated by 3DNA Inc., doing business as 3DNA Dental (collectively, “3DNA Dental,” “Company,” “we,” “us,” or “our”). Our Florida office is located at 19540 Highland Oaks Drive, #213, Estero, Florida 33928, United States.

By visiting or using the Services, creating an account, submitting an order, or purchasing a product or service, you agree to these Terms, our Privacy Policy, and our Fulfillment & Return Policy, each as updated from time to time. If you do not agree, you may not use the Services or place an order.

Our Privacy Policy and Fulfillment & Return Policy are incorporated into these Terms. These Terms are governed by Florida law, except where federal law controls.

Eligibility and Professional-Use Requirement
You must be at least the age of majority where you live and have the legal capacity to enter into these Terms. If you use the Services or place an order for a business, practice, laboratory, educational institution, or other organization, you represent that you are authorized to bind that organization to these Terms.

Many products offered through the Services are intended only for licensed dental professionals, dental laboratories, dental practices, educational institutions, qualified healthcare providers, and other authorized professional organizations. By placing an order for a restricted product, you represent and warrant that you are either a licensed dentist, orthodontist, prosthodontist, oral surgeon, dental hygienist, or other licensed healthcare professional; purchasing on behalf of a licensed dental practice, dental laboratory, educational institution, or authorized healthcare organization; or an authorized distributor or reseller permitted to purchase the relevant professional dental equipment or materials.

Product regulatory classification, intended use, and purchaser qualifications vary by manufacturer, model, and material. We may request proof of licensure, business credentials, or other documentation before accepting, processing, or fulfilling an order. We may refuse or cancel an order that does not satisfy applicable professional-use requirements. You must use products only in accordance with the applicable manufacturer instructions for use, all applicable laws and regulations, and your own professional training and judgment.

Accounts and Account Security
Certain Services may require an account. You must provide accurate, complete, and current information and update it promptly if it changes. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately at support@3dnadental.com if you suspect unauthorized use of your account.

We may suspend, restrict, or terminate an account where we reasonably believe that it contains inaccurate information, is being used unlawfully or fraudulently, violates these Terms, or creates risk for the Company, other customers, or third parties.

Orders, Acceptance, and Availability
Submitting an order is an offer to purchase the selected products or services under these Terms, at the price and terms displayed at checkout or stated in an applicable written quotation, invoice, or service agreement. An order-confirmation email confirms that we received your order; it does not constitute acceptance.

We accept an order only when we send a shipping confirmation, make the product available for pickup, begin delivery of the purchased service, or otherwise expressly confirm acceptance. We may decline, cancel, or limit an order before acceptance, including for suspected fraud; errors in pricing, product information, or availability; a failure of payment authorization; export or professional-use restrictions; or a violation of these Terms. If we cancel an order after payment has been collected, we will refund the amount paid for the canceled item or service through the original payment method unless another lawful arrangement is agreed.

Some products are fulfilled by a manufacturer or distribution partner. Product pages and order communications may identify pre-order, back-order, special-order, or drop-shipment conditions. An “Add to Cart” button does not guarantee immediate shipment. If delivery timing is important, contact sales@3dnadental.com before ordering.

Product Information and Manufacturer Materials
We aim to present accurate product descriptions, specifications, prices, images, and availability. However, content may contain errors, may become outdated, and may vary because of manufacturer changes, production variation, display settings, or other circumstances. We may correct errors, update information, modify or discontinue products, and cancel orders affected by an error to the extent permitted by law.a

Product-specific claims about regulatory status, clearance, registration, biocompatibility, specifications, warranties, intended use, or professional-use restrictions apply only when supported by the manufacturer’s documentation for the particular product. You are responsible for reviewing the applicable product page and the manufacturer’s instructions for use before purchase or use. Nothing on the Services is medical, dental, clinical, legal, or financial advice, and product information does not replace professional training or clinical judgment.a

Manufacturer warranties, if any, are provided by the applicable manufacturer under its separate warranty terms. Except where we expressly provide a separate written warranty, we do not provide a warranty beyond rights that cannot lawfully be excluded or limited.

Prices, Payment, Taxes, and Promotions
Prices are listed in U.S. dollars unless the Services state otherwise. Prices, discounts, product availability, and other commercial terms may change before we accept an order. The price charged will be the price shown at checkout or in the applicable accepted written quote, subject to correction of evident errors.

You authorize us and our third-party payment providers to charge the payment method you submit for the full amount shown at checkout or in the applicable invoice, including product price, shipping, handling, taxes, and other disclosed charges. Available payment methods may include American Express, Apple Pay, Discover, Google Pay, Mastercard, PayPal, Shop Pay, and Visa, subject to availability at checkout. You represent that you are authorized to use the selected payment method.

Unless otherwise stated, prices do not include shipping, handling, sales or use taxes, customs duties, import charges, or other governmental assessments. You are responsible for applicable charges disclosed at checkout or lawfully imposed in connection with your purchase. Promotional codes and discounts are subject to their stated conditions, have no cash value, may not be combined unless we say otherwise, and may be modified, suspended, or withdrawn to the extent permitted by law.

Shipping, Delivery, Training, and Risk of Loss
Shipping, delivery, fulfillment, return, refund, cancellation, and related commercial terms are governed by our Fulfillment & Return Policy, which is incorporated into these Terms. In the event of a direct conflict between these Terms and that policy concerning a shipment, return, refund, or cancellation, the Fulfillment & Return Policy controls.
Orders are ordinarily processed within two to three business days after payment confirmation. Standard delivery estimates are three to seven business days within the United States, five to ten business days to Canada subject to customs clearance, and one to three business days within Hawaii through local carriers; however, all delivery dates are estimates and not guarantees. Shipping charges are calculated at checkout based on relevant shipment information. Orders may ship from our Hawaii or Florida operations or directly from a manufacturer or distribution partner. You will receive tracking information after shipment when available.

We serve all 50 U.S. states and Canada. We may facilitate international shipping in some circumstances, but availability may be restricted by export requirements, carrier availability, or other limitations. Contact sales@3dnadental.com before ordering if you are outside the United States or Canada.

Unless applicable law requires otherwise, title to and risk of loss for goods pass to you when we transfer the goods to the carrier. You must inspect deliveries promptly and report damaged, defective, missing, or incorrect items as specified in the Fulfillment & Return Policy.

Technical IT services and training may be delivered remotely or in person. Remote sessions are ordinarily scheduled within five business days of purchase, while in-person training is coordinated with the customer. Any scope of work, deliverables, schedule, fees, and cancellation terms stated in a signed agreement, accepted quote, or service order control over conflicting general terms in these Terms.

Returns, Refunds, Cancellations, and Chargebacks
Our Fulfillment & Return Policy governs all returns, refunds, cancellations, restocking fees, and associated procedures. The policy requires an RMA before a return and describes different eligibility and fee rules for capital equipment, resin, and technical IT services or training. Custom-ordered equipment, opened resin, and used training materials are generally non-returnable unless defective. For a product damaged or defective on arrival, notify us within 48 hours of delivery and include photographs of the issue.

You must contact support@3dnadental.com or +1 (888) 852-1755 to request an RMA, refund, cancellation, or other order assistance. We encourage you to contact us first to resolve any billing concern. Nothing in these Terms prevents you from exercising rights that cannot lawfully be waived.

Acceptable Use
You may use the Services only for lawful, professional, authorized purposes. You may not, and may not assist or permit another person to, violate any applicable law, regulation, intellectual-property right, privacy right, or these Terms; use the Services for fraud, deception, harassment, abuse, or any other unlawful purpose; interfere with, disrupt, damage, disable, overburden, or compromise the Services, their security, or another person’s use of them; access, scrape, crawl, data-mine, copy, or monitor the Services through automated means without our prior written authorization; bypass or attempt to bypass security measures, access controls, or account restrictions; reproduce, distribute, publicly display, modify, reverse engineer, or create derivative works from the Services or their content except as expressly permitted by law or by us in writing; or use the Services or their content to develop, train, or improve a competing product, service, model, or database without our written permission.

Reviews, Feedback, and User Content
If you submit a review, image, comment, testimonial, question, suggestion, or other content through the Services (“User Content”), you represent that you have all necessary rights to submit it and that it is accurate, lawful, and does not infringe another person’s rights. You retain ownership of User Content that you own.

By submitting User Content, you grant 3DNA Dental a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, reproduce, adapt, display, publish, distribute, and otherwise use that User Content in connection with operating, improving, promoting, and providing the Services. We may, but are not obligated to, review, remove, or decline to publish User Content. Feedback is voluntary and non-confidential; we may use it without compensation or restriction.

Intellectual Property
The Services and all materials available through them—including the 3DNA Dental and 3DNA™ names, logos, product listings, text, photographs, videos, graphics, designs, software, and site layout—are owned by 3DNA Dental, its licensors, or the applicable manufacturer or content owner, and are protected by applicable intellectual-property laws.

Subject to these Terms, we grant you a limited, revocable, non-transferable, non-sublicensable license to access and use the Services for lawful professional shopping and business purposes. No right, title, or interest in the Services or their content is transferred to you except for this limited license. You may not use our trademarks or branding without our prior written permission.

Third-Party Services and Links
The Services may link to or integrate with third-party websites, payment providers, carriers, social-media platforms, manufacturers, distributors, analytics providers, and other services. We do not control and are not responsible for third-party services, content, availability, policies, products, or practices. Your relationship with a third party is solely between you and that third party and may be governed by its separate terms and privacy policy.

Privacy and Electronic Communications
Our Privacy Policy explains how we collect, use, disclose, and safeguard personal information. By using the Services, you acknowledge that you have reviewed the Privacy Policy.

You agree that we may communicate with you electronically, including by email, through your account, by text message where you have consented, or by posting notices on the Services. Electronic communications satisfy any legal requirement that a communication be in writing to the extent permitted by law. You are responsible for maintaining current contact information.

Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, THEIR CONTENT, AND PRODUCTS OR SERVICES MADE AVAILABLE THROUGH THEM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; THAT PRODUCT INFORMATION WILL ALWAYS BE COMPLETE OR ACCURATE; OR THAT ANY DEFECT WILL BE CORRECTED. This section does not exclude any warranty, remedy, or consumer protection that cannot lawfully be excluded or limited.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, 3DNA INC., 3DNA DENTAL, AND THEIR RESPECTIVE OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, SUPPLIERS, MANUFACTURERS, DISTRIBUTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES, PRODUCTS, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES, PRODUCTS, OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

The limitations in this section apply regardless of the theory of liability and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be limited.

Indemnification
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless 3DNA Inc., 3DNA Dental, and their respective owners, directors, officers, employees, agents, affiliates, licensors, suppliers, manufacturers, distributors, and service providers from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your violation of these Terms, unlawful conduct, misuse of the Services or products, or infringement of another person’s rights. We may assume the exclusive defense and control of a matter subject to indemnification, and you agree to cooperate with that defense.

Governing Law and Venue
Except to the extent federal law controls, these Terms and any dispute arising out of or relating to the Services, products, or these Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles.

Before beginning a formal legal proceeding, you agree to send a written notice describing the dispute, the facts supporting it, the relief requested, and your contact information to info@3dnadental.com. The parties will attempt in good faith to resolve the dispute informally for at least 30 days after receipt of that notice.

Subject to applicable law, any action or proceeding arising out of or relating to these Terms, the Services, or products purchased through the Services must be brought exclusively in the state or federal courts located in Lee County, Florida. You and 3DNA Dental consent to personal jurisdiction and venue in those courts.

Changes to the Services or Terms
We may update the Services and these Terms from time to time. When we do, we will change the “Last Updated” date above and may provide additional notice where required or appropriate. Revised Terms apply when posted unless a later effective date is stated. Your continued use of the Services after the revised Terms take effect constitutes your acceptance of them. If you do not agree to revised Terms, you must stop using the Services.

Suspension and Termination
We may suspend or terminate your access to all or part of the Services if we reasonably believe you have violated these Terms, provided inaccurate information, engaged in fraud or abuse, created risk or legal exposure, or if suspension or termination is required by law. Termination does not affect obligations that accrued before termination. Provisions that by their nature should survive termination—including intellectual-property rights, disclaimers, limitations of liability, indemnification, and dispute provisions—will survive.

Miscellaneous
These Terms, together with policies and documents they expressly incorporate, are the entire agreement between you and 3DNA Dental regarding the Services unless a separate signed agreement, accepted quotation, invoice, or service order expressly states otherwise. If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. Nothing in these Terms creates an agency, partnership, joint venture, employment, fiduciary, or other relationship between you and us. Headings are for convenience only and do not affect interpretation.

We are not responsible for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, supply-chain disruption, governmental actions, failures of third-party carriers or service providers, or telecommunications or utility outages.
